Board of Directors Special Meeting Minutes

I.                     Call to Order

7:03 pm

 

Present:  Dave O’Brien, Pres., Mark Paul, VP, Ray DeCormier, Treas, Sherri-Ann Martin, Clerk, John Connor, Scott Forgue, Dave Martin, Dave Moorcroft

 

Absent:  Laurel Hennebury

 

II.                   Review and Discuss Legal Services Proposal from Robinson & Cole LLP

D. O’Brien read engagement letter from Robinson & Cole, LLP;

The firm is to provide a memorandum of the possible strategies to consider if the town of Lebanon votes against the sewer project for Amston Lake and once a strategy is chosen, to provide communications to the appropriate parties that we are trying to protect Amston Lake

 

Per D. O’Brien, L. Hennebury had sent an email to him stating her support for proceeding with the attorneys

 

III.                  Act Upon Legal Services Proposal from Robinson & Cole LLP

 

Dave O’Brien made a motion to employ the legal services of Robinson & Cole, LLP, not to exceed $3000, for a legal strategy inclusive of communications to appropriate agencies, with board approval of communications.

 

John Connor, seconded the motion.

 

Vote For:

R. DeCormier, S. Forgue, J. Connor, D. Moorcroft, M. Paul

 

Vote Against:

D. Martin, S. Martin

 

Motion passed   5 - 2

 

IV.                Review and Discuss Duck Pond Issues

 

D. Moorcroft:  water is seeping through the rock walls of the duck pond dam, there is a sink hole which he keeps filling with crushed stone, sand bags are placed on the front edges of the dam and have slowed leakage through the side walls of the dam

 

Karl Acimovic, our dam engineer, has suggested a geothermal solution, D. Moorcroft would like to try staking down impermeable fabric and adding a weir board system to have more control over water levels, C. Wool discussed barometric clay and hydraulic cemenT

 

V.                  Act Upon Dock Pond Issues

 

All were in agreement that more research needs to be done and the board needs to get a list of our options to review and to determine effective, cost conscious solutions.  Add to the Agenda for the next regular board meeting.

the motion passed unanimously
